Corporate Reporting
2013 is a required reporting year for Limited Liability Companies, Limited Liability Partnerships and Nonprofit Corporations. If your report is not received by the Secretary of State Business Division by the due date, your company will be dissolved. To submit an annual/biennial report online follow the instructions and use the links below.

- DOMESTIC LLC: Information on the report must be current as of the date the report is delivered to the Secretary of State for filing. You may only change the address for the principal office on this report. Your current information on file with the Secretary of State will be displayed to you on the screen. All other changes may be made using the forms below, and can be filed online using the Corporate Document eDelivery system:
- Changes to the name of the limited liability company may be accomplished by filing an Amended Certificate of Organization
- Changes to the name and/or address of the agent for service of process, and/or the address of the designated office must be accomplished by filing a Statement of Change of Designated Office/Agent
- FOREIGN LLC: You may not make changes on the report. Your current information on file with the Secretary of State will be displayed to you on the screen. If any information needs to be updated, changes may be made using the forms below, and can be filed online using the Corporate Document eDelivery system:
- Changes to the name of the limited liability company, the alternate name or the state or other jurisdiction under whose laws the limited liability company is formed may be accomplished by filing an Application for Amended Certificate of Authority
- Changes to the name and/or address of the agent for service of process, and/or the address of the principal office must be accomplished by filing a Statement of Change of Designated Office/Agent

- If the partnership engages in the practice of law, you must include a Certificate of Registration issued by the Nebraska Supreme Court.

- You may change the address for the principal office, names and addresses of officers and directors, nature of business, corporate type (see Public Benefit, Mutual Benefit and Religious Corporation Designation) and whether or not the corporation has members on this report. Your current information on file with the Secretary of State will be displayed to you on the screen. All other changes may be made using the forms below, and can be filed online using the Corporate Document eDelivery system:
- Changes to the registered agent and/or office requires a Domestic Nonprofit Change of Registered Agent/Office form, or a Foreign Nonprofit Change of Registered Agent/Office form.
- Change of corporate name requires filing articles of amendment.
- If you make any changes to the corporate type and whether or not the corporation has members on your report please note, the information given must match the corporation’s Articles of Incorporation or the latest amendment or Certificate of Authority or latest amendment in the case of a foreign Nonprofit Corporation.
Public Benefit, Mutual Benefit and Religious Corporation designation:
- All nonprofit corporations are required to state whether they are a public benefit corporation, mutual benefit corporation, or religious corporation in their articles of incorporation (see Neb. Rev. St. Stat. §21-1921). Please review your articles of incorporation if you are unsure of what designation to select.
- If your corporation was in existence before January 1, 1997 and became subject to the Nebraska Nonprofit Corporation Act please review the following definitions to determine what designation to select.
- Religious corporation: Any corporation organized primarily or exclusively for religious purposes.
- Public benefit corporation: Any corporation recognized as exempt under section 501(c)(3) of the Internal Revenue Code or any corporation organized for a public or charitable purpose, and upon dissolution must distribute its assets to a public benefit corporation, the United States, a state, or a person recognized as exempt under section 501(c)(3) of the Internal Revenue Code.
- Mutual benefit corporation: Any corporation that does not come within the previous definitions.
Member definition: Any person or persons who on more than one occasion…have the right to vote for the election of a director or directors. |
