1.0 Introduction

Welcome to the UCC Financing Statement FAQ/Help document. This document is designed to help walk you through filing a UCC Financing Statement online. We strongly encourage you to read through this document before you file, even if you are familiar with the filing process.

1.1 What are RA-9 filings?

RA-9 stands for Revised Article 9. This is legislation which Nebraska, among the other 49 states, has passed in order to make a number of changes to the UCC filing/ searching process. RA-9 changed what information filers need to provide on their filings and provides specific guidelines of filing office acceptance and rejection. For more information on the exact changes involved with RA-9, visit the Secretary of State's website at: http://www.sos.ne.gov.

1.2 What are the major changes?

There are a several changes to the filing process under RA-9 primarily involving specifications of debtor and secured party names and additional information regarding entity debtors and secured parties. The online filing system will alert you to the reasons for rejection, allowing you to back up and fix the problem or omission prior to completing the filing.

2.0 RA-9 Financing Statements Explained

This section is designed to walk you through the various stages of the online filing process, and aid you in avoiding some of the common pitfalls that might come up while filling out the online UCC Financing Statement form.

2.1 How the filing is completed

Completion of the online filing form takes place in several stages. The first step is to fill out the online filing form (details specifically outlining debtor/ secured party/collateral information follows in 2.1.1). Once the form is submitted for processing, an error check is performed by the application and a "validation" screen returned for you to view. You may determine at this point to:

  1. return to the previous screen to correct entry errors or omissions;
  2. proceed to add additional debtors or secured parties; or
  3. that the Financing Statement is ready to be filed.

If you are ready to proceed and file the Financing Statement, scroll down to the bottom of the screen and press "File Financing Statement Now" button and the actual filing process will now take place. Your filing will now be presented back to you in it's entirety (including date/time and document number) and you should print it off at this point as your acknowledgement of filing to retain for your records.

2.1.1 Debtor Information

Determine if the debtor is: an organizational or individual debtor. Select the radio button next to the debtor type and proceed to enter the debtor name in the box(es). If the debtor is an organizational debtor, be sure to fill out the: type of organization, jurisdiction of organization, and ID (or check the 'none' box next to the Org ID). Fill out the city, state, and zip code fields as this is required information for every debtor on the Financing Statement.

2.1.2 Secured Party Information

Determine if the secured party is an organizational or individual secured party. Select the radio button next to the debtor type and proceed to enter the secured party name in the box. Complete the city, state, and zip code fields as this is required information for a secured party.

2.1.3 Collateral Information

Immediately following the secured party box is the area to provide a collateral description. If you have a lengthy collateral description or statement that you use repeatedly, you may cut and paste the description into the collateral text area.

Note: To cut and paste, save in an ASCII text format, such as Notepad or Word Pad and cut and paste from these documents. Do NOT cut and paste from Microsoft Word documents as extra characters may be added into the paste, which can cause problems with the collateral description.

2.1.4 Additional Lien Information

There are additional alternate designations for the debtor and secured party. If needed, simply check the appropriate selection and the information will be included on your filed Financing Statement.

2.1.5 Additional Debtors and/or Secured Parties

After you have completed entry on the initial Financing Statement screen and have hit the 'Continue' button on the bottom of the screen, you will be shown a copy of the proposed Financing Statement. At the bottom of this web page, you'll find buttons allowing entry of additional parties. If needed, you may select "Add Additional Debtors" or "Add Additional Secured Parties" and either selection will take you to a screen where the additional information may be entered. You may enter as many Debtors or Secured Parties as needed.

2.1.6 Validation

At this point, you should review all information that is brought back on the validation of filing screen presented (i.e. double-check all spelling, etc.) If you find an error or omission, hit the 'back' button on your web browser until you reach the appropriate screen and add the omission or correct the error, then press the 'continue' button again at the bottom of the screen. After you have determined that all information on the Financing Statement has been included, you may scroll down to the bottom of the screen and hit the 'File Financing Statement Now' button.

Note: When you press the "File Financing Statement Now" button, your lien is processed and filed at this time and you will be charged the $8.00 fee for filing.

2.1.7 Finalization

After your lien has been filed with the Secretary of State's Office, you will receive a final response showing all debtor/secured party/collateral information, the filing date/time and document number. This page should be printed off and kept as an acknowledgement of your filing.

2.2 Lien Information Explained

If you are a new online subscriber, you may have questions about what lien information is available through the online searching or retrieval of images process.

2.2.1 Standard Search Information

All debtor and secured party information, document number, and the date/time of filing are available from a standard search.

2.2.2 Images

In addition to the information in 2.2.1 above, organizational debtor information: type, jurisdiction, and ID # (if applicable) is available on the image, as well as collateral information.

3.0 Troubleshooting

This section is designed to walk you through some of the errors you may encounter along the way, and help figure out the correct steps to take to get these errors fixed.

3.1 Process Error Messages

Process error messages are ones that generally occur due to a data entry error of some sort. Though, under RA-9, there are only a small number of things that can be checked, we have gone through and tried to account for as many as are possible to automate.

3.1.1 You must check the button...

This error occurs when you haven't checked the button next to either the Organizational Name or Individual Debtor labels on either the original form, or the Add Debtor or Add Secured Party forms. Simply press the "Back" button on your web browser, locate the unselected button that corresponds with the name you entered, click it, then scroll to the bottom and hit the "Continue" button again.

3.1.2 Missing organization type, jurisdiction, or id

This error occurs when you have selected an organizational debtor, but have not entered the organizational type, jurisdiction, or id number, or checked the "None" button to the right of the Organizational ID. Should this occur, press the "Back" button on your web browser, locate the missing information in the debtor entry fields, fill them in, then scroll to the bottom and hit the "Continue" button again.

3.1.3 Non-numeric characters in the Tax ID/SSN/EIN

This error occurs when something other than the characters 0 through 9 are entered into the Tax ID/SSN/EIN field. This does include spaces, tabs, and other assorted non-printable characters. Should you get this error, but you cannot see any non-numeric characters in the field, simply erase the entire field and start over.

Again, press the "Back" button on your web browser, locate the missing information in the debtor or secured party fields, fix the error, then scroll to the bottom and hit the "Continue" button again.

3.2 Technical Error Messages

This section is designed to provide some insight into messages that occur due to problems with the code on Nebraska.gov's end. While we work to make our products as bug free as possible, there are occasional problems that can creep into the system.

3.2.1 "Internal Server Error" messages

"Internal Server Error" messages occur for a variety of reasons, usually due to problems on our end. Should you ever encounter this error message, you should notify Nebraska.gov immediately, and attempt to include as much information about what you were doing when the error occurred as you can remember.

3.2.2 "Try again in 15 minutes" messages

These messages are received when there is a temporary loss of connectivity with the Secretary of State's database. This could be due to a wide variety of problems, from misconfigurations in software to the actual hardware being down.

In general, these problems are resolved within 15 to 60 minutes, so if you should see one of these messages, please wait the fifteen minutes and try again. Should you see this message repeatedly through out the day, you may wish to contact Nebraska.gov to see if we know when the system will be back up.

3.2.3 "Page Not Found" messages

This is most likely an error that is the result of using a bookmark to a page other than our Online Services page. The links underneath the Online Services page are subject to change at any time, so we would advise that you bookmark only that page.

3.2.4 "Authorization Denied" messages

There are several reasons why you may receive this error message. Normally, it's found because of a mistyped password or user name. Remember, passwords and usernames are case sensitive. So if your usernames is user01, you can not enter USER01. Always check to make sure your caps lock key is not on.

For UCC filings we have another type of authorization that we go through. All UCC customers must have filed an Electronic Filing Services Agreement with the Secretary of State's office. If this hasn't been filed yet, or we have not yet received the notification from the Secretary of State's office that your EFSA has been approved, then you will not yet be authorized to file.
